Insight Communications Reports Sale of Shares By Vestar Capital Through Rule 144

New York – March 08, 2004 –

Insight Communications Company, Inc. (Nasdaq: ICCI) announced that Vestar Capital Partners III, L.P. has sold approximately 1.6 million shares of Insight’s Class A common stock pursuant to Rule 144, as disclosed in a Form 144 filed with the Securities and Exchange Commission.

Daniel S. O’Connell, chief executive officer and founder of Vestar, said, “We are very pleased with our Insight investment and have been a strong supporter of Insight for over the past six years as both a private and public company. As a manager of private investment funds, we have determined to reduce our stake in Insight to balance our fund portfolio. We continue to believe enthusiastically in Insight, its management team and its vision.”

Vestar owns approximately 1.2 million shares of Insight’s Class A common stock after the sale, and Mr. O’Connell continues to serve as Vestar’s representative on Insight’s Board of Directors.

Vestar’s investment in Insight was made in January 1998 in connection with the acquisition of Insight’s Rockford, Ill. system. The investment was part of a $50 million private placement in Insight Communications Company, L.P., a privately owned partnership, resulting in Vestar and the other investors owning in the aggregate 45% of the partnership’s fully diluted equity. These partnership interests were exchanged for shares of Insight’s Class A common stock in July 1999 in connection with Insight’s initial public offering.
