Insight Midwest and AT&T Broadband Agree to Cable System Transactions

NEW YORK CITY, and ENGLEWOOD, Colo. – October 15, 2002

Insight Midwest and AT&T Broadband have entered into a definitive agreement under which AT&T Broadband will sell to Insight Midwest certain cable television systems serving about 23,000 customers in Indiana and Kentucky in exchange for about 13,000 customers in Georgia and $25 million in cash, the companies said today.

Insight Midwest is a joint venture partnership managed by Insight Communications Company (Nasdaq: ICCI) and equally owned by Insight Communications and AT&T Broadband, serving about 1.3 million customers highly concentrated in the four contiguous states of Illinois, Kentucky, Indiana and Ohio. Insight Communications currently manages the Indiana and Kentucky systems to be transferred in the transaction by AT&T Broadband. Indiana communities include Corydon, Floyd County, Georgetown, Greenville, Harrison County, Lanesville, New Albany, and Palmyra. Kentucky communities include Eminence, Henry County, New Castle, Pleasureville, Shelby County, Shelbyville, and Simpsonville. As part of the transactions, Insight Communications agreed to continue to manage through June 2003 the remaining Indiana and Kentucky systems it currently manages for AT&T Broadband, serving about 94,000 customers.

The transaction is expected to close in the first quarter of 2003 or sooner, subject to certain closing conditions and regulatory review.
